DRAFT — not yet in effect

Terms of service

Last updated: [date placeholder]. This is a structured draft prepared ahead of launch; bracketed items will be completed and the final terms reviewed by counsel before publication.

1. About these terms

These terms govern use of the AmplifyPay platform and website, operated by Amplify Resourcing Ltd of [street address placeholder], Accra, Ghana.

Separate agreements apply to employers (the Employer Services Agreement) and employees (the Employee Terms of Use). This document is a structured draft of the general website and platform terms; bracketed items will be completed before launch.

2. The service

AmplifyPay provides payroll processing and earned wage access. Earned wage access lets employees receive part of wages they have already earned ahead of their scheduled payday, with the amount netted from their salary at payday.

Earned wage access is not a loan, credit facility or advance of unearned income. No interest is charged and no debt is created. [Placeholder: regulatory characterisation to be confirmed with counsel.]

3. Employer obligations

Employers must provide accurate payroll data, maintain the agreed revolving float, and run payroll through the platform for netting to operate.

Employers are responsible for the lawfulness of the employee data they upload and for informing employees that their data will be processed by AmplifyPay.

[Placeholder: float funding terms, cut-off obligations and remedies to be inserted from the Employer Services Agreement.]

4. Employee use

Employees may draw only against wages already earned, up to limits set by their employer and the platform.

Draws are disbursed only to a mobile money wallet or bank account registered and verified in the employee's own name.

The per-draw fee is displayed before confirmation. [Placeholder: fee schedule reference to be inserted.]

5. Fees

Employer subscription fees are charged per employee per month as set out on the pricing page or in the Employer Services Agreement.

Per-draw fees are deducted from the disbursed amount and shown to the employee before they confirm a draw.

There are no other fees. Any change to fees will be notified in advance. [Placeholder: notice period to be inserted.]

6. Acceptable use

You must not misuse the platform: no unauthorised access, no interference with service operation, no submission of false or fraudulent information, and no use of the platform to breach any law.

We may suspend accounts involved in suspected fraud while we investigate. [Placeholder: suspension and appeal procedure to be inserted.]

7. Liability

[Placeholder: limitation of liability, service availability commitments and force majeure clauses to be drafted by counsel.]

Nothing in these terms excludes liability that cannot be excluded under Ghanaian law.

8. Suspension and termination

[Placeholder: termination rights, notice periods, and treatment of outstanding draws and float balances on termination to be inserted.]

9. Governing law

These terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction over any dispute. [Placeholder: dispute resolution / arbitration clause to be confirmed.]
